Indemnity Waiver / Customer Agreement for QuadraPay
You hereby indemnify to the fullest extent QuadraPay from and against any and all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.
In consideration of the use of QuadraPay’s reseller services, I, the undersigned customer, agree to indemnify, defend, and hold harmless QuadraPay, including its officers, directors, employees, agents, and affiliates (collectively referred to as the “Company”), from any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to my use of QuadraPay’s services in any region or jurisdiction.
I acknowledge that QuadraPay provides payment solutions solely as a reseller and that I am fully responsible for ensuring compliance with all applicable laws and regulations in my jurisdiction. I accept all risks associated with using QuadraPay’s services, including any associated with the purchase, possession, or use of the products and services obtained through QuadraPay.
I hereby release, discharge, and waive any claims, demands, causes of action, suits, judgments, or liabilities of any kind that may arise in connection with my use of QuadraPay’s services in any region.
Additionally, I agree to defend, indemnify, and hold harmless QuadraPay against any claims, liabilities, damages, expenses, and losses, including but not limited to personal injury, property damage, or any other harm, whether direct or indirect, foreseeable or unforeseeable, resulting from my use of QuadraPay’s services globally.
This indemnity waiver applies to me, my heirs, executors, administrators, successors, and assigns, in all applicable jurisdictions.
By utilizing QuadraPay’s services, I confirm that I have read, understood, and voluntarily agree to this Indemnity Waiver. I certify that I am authorized to use these services in compliance with applicable laws and regulations in any region where they are used.
This waiver shall be governed by and construed in accordance with the laws of the jurisdiction in which any claim or dispute arises, with QuadraPay reserving the right to choose the appropriate jurisdiction for any proceedings.
Severability
If any provision of these Terms is found to be invalid under any applicable law, such provision shall be deleted without affecting the remaining provisions herein.
Variation of Terms
QuadraPay is permitted to revise these Terms at any time as it sees fit, and by using this Website, you are expected to review these Terms on a regular basis.
Assignment
QuadraPay is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
Entire Agreement
These Terms constitute the entire agreement between QuadraPay and you in relation to your use of this Website and supersede all prior agreements and understandings.
Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the State of Haryana, India, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Haryana, India, for the resolution of any disputes.
13. Our Business Model
You understand that QuadraPay or its owners and associates are not payment processors. We work as resellers of various payment processing companies. Our role is solely to help you send the application and the required documents to the payment processors. You understand that QuadraPay does not have any control over how the merchant or the payment processors operate. Our role ends after sending the application to the payment service providers. You must confirm that all disputes and queries regarding the approved merchant account, Payment Gateway, Chargeback Alert Services, Echeck Processing Solution, and business funding shall be directly handled by the merchant and the service providers. You also confirm that you will not involve QuadraPay in any conversation that is between you, your company, and the service providers. This Website is owned and operated by QuadraPay. It is a merchant service reseller and does not sign any contracts with merchants. It does not handle payment or settlement services. It acts as an introducer and may receive commissions from payment service providers if the referred merchants are approved and commence business.
14. High-Risk Merchant Account – Warning
You understand that high-risk merchants attract more chargebacks than low-risk merchants. If you apply to a service provider through us, you must ensure that you do not violate any local or international laws or regulations. You also confirm that you will follow all recommendations and guidelines from various card schemes, and relevant service providers. QuadraPay does not support the sale of illegal products and services. You must acknowledge that you will not misuse the services of any of the service providers. You also confirm that you will not misrepresent your business model. You also confirm that you will not use any unethical business practices to generate sales and revenue. You also confirm that the service providers may terminate your accounts and services if you do not follow the terms of agreements.
15. Documents and Data Usage
Document Submission
You confirm that you will send accurate and valid documents (KYC) to QuadraPay as part of the merchant onboarding process. QuadraPay is required to collect and share these documents with various service providers, including payment processors, to facilitate the approval of your merchant account.
Data Sharing and Responsibility
By submitting your documents, you agree that QuadraPay will share your data with third-party service providers as necessary to process your application. QuadraPay does not have any control over how these third-party providers handle your data after it is transferred, and we cannot guarantee the security measures or practices of these entities.
No Liability for Third-Party Breaches
In the event of any data breach, theft, or unauthorized access occurring within the systems of third-party processors or service providers, QuadraPay and its owners cannot be held liable. You acknowledge that once your documents are shared with third-party providers, any data security or privacy concerns must be addressed with the respective service providers.
Data Deletion Requests
Should you request the removal of your personal data, QuadraPay will ensure that your data is removed from our own system. However, QuadraPay is not responsible for the removal or management of your data once it has been shared with third-party providers. You will need to contact the respective service provider directly to request data deletion.
No Guarantees of Data Protection or Merchant Account Approval
While QuadraPay implements reasonable measures to protect the data it collects, we do not guarantee the approval of your merchant account or that your data will remain secure once shared with third-party processors. You agree to assume the risk when sharing your data for the purpose of merchant account facilitation.
You also confirm that you will not hold QuadraPay or its owners or associated companies liable in case of any data breach on the server, email, or any other case. In the event that any of your documents and information are leaked due to a security breach or data leakage, you will not hold QuadraPay and its owners responsible.
You also confirm that the service providers will verify the validity of all your information. You also allow service providers to perform a background check on you and your company, including company directors, shareholders, and owners. This background check may include reviewing credit history and obtaining information from various other sources.
16. Communication
When you contact QuadraPay via the web, email, chat, or phone, you authorize QuadraPay to contact you for relevant business communications. These communications may include information and updates about additional services.
17. Additional Terms
When you fill out the contact form on our website or contact QuadraPay or its team members through any medium, you also agree to the following additional terms, including those mentioned above:
QuadraPay will process your personal data as described in the Privacy Policy. You have read, understood, and accepted the Terms and Conditions. You give your consent to QuadraPay to contact you via email and phone/Skype/WhatsApp/Telegram, etc. QuadraPay will send your details/documents to merchant service providers. QuadraPay is unable to assist you without collecting and sharing your data with service providers. You authorize QuadraPay and its processing partners to hold and distribute a copy of your identification for any additional required third-party documentation. You also authorize and understand that the third parties selected by QuadraPay may hold a copy of your identification. You confirm that you will not violate any local or international laws or card scheme rules in relation to your payment processing requirements. You accept that all information shared by you is accurate.
